General Advisor Disclosure

AltsPrism ("the Firm") is a Registered Investment Advisor (RIA) registered with the U.S. Securities and Exchange Commission (SEC) / state regulatory authority. Registration as an investment advisor does not imply a certain level of skill or training. The information contained on this website marketplace is for educational and informational purposes only and does not constitute a comprehensive offer to sell, or a solicitation of an offer to buy, any security or investment product.

02

Our Custody and Clearing Architecture

All platform transactions, asset custody, clearing, and digital account executions are facilitated through our primary relationship with Altruist Financial LLC (member FINRA/SIPC) and its affiliate Altruist Investment Management LLC (collectively, "Altruist"). While the Firm selects and monitors the investment options made available on this marketplace, Altruist serves as the qualified custodian responsible for maintaining your funds and executing requested portfolio trades.

03

Subscription Advisory Fee Structure (No Performance Drag)

We operate on a flat monthly/annual subscription fee model for our wealth management and platform advisory services.

  • Our advisory fees are billed completely independently of your total account size or specific asset allocation.
  • Unlike traditional asset-management firms, we do not charge an Asset Under Management (AUM) percentage fee.
  • This structure ensures our advisory fees impose no compounding asset-drag or ongoing performance friction on your invested capital.
  • We do not accept 12b-1 fees, distribution fees, soft dollars, or revenue-sharing arrangements from any fund sponsors or managers featured on this marketplace.
04

Underlying Fund Fees and Operating Expenses (The Second Layer of Costs)

Important Notice: While our flat subscription fee ensures zero advisory asset-drag, all alternative and private market funds available on this marketplace carry a separate, internal layer of fund-level fees and operating expenses. These underlying expenses are entirely distinct from, and in addition to, our flat advisory subscription.

These fund-level costs are neither charged nor collected by our Firm or Altruist. Instead, they are deducted automatically and directly from the assets of the fund by the respective third-party fund managers (sponsors). Consequently, these expenses reduce the fund's Net Asset Value (NAV) and overall performance before any returns, dividends, or distributions are updated or reflected in your Altruist account.

Depending on the specific vehicle type (e.g., evergreen fund, interval fund, or Business Development Company) and asset class (private equity, credit, real estate, infrastructure, or venture capital), these internal costs typically include:

  • Management Fees: Ongoing annual percentages (typically 1.0% to 2.5%) paid to the third-party fund manager to cover portfolio sourcing, asset underwriting, and operational overhead.
  • Incentive Fees / Carried Interest: Performance-based fees (frequently 10% to 20%) allocated to the fund manager out of capital gains or net investment income once a predetermined "hurdle rate" or return benchmark has been exceeded.
  • Fund Operating and Deal Costs: Asset class-specific transaction costs, which may include deal-sourcing expenses, broken-deal fees, independent asset valuations, legal setup, and the annual administrative costs of preparing client tax documentation (such as Schedule K-1s or 1099-DIVs).
  • Leverage and Interest Expenses: Certain specialized vehicles, particularly private credit, real estate, and BDCs, routinely utilize debt structures to optimize investment capacity. The interest paid on these borrowed funds is an internal fund operational expense that lowers net returns.
  • Platform Pass-Through Charges: Any product-specific processing, clearing, or administrative pass-through charges assessed by the custodian platform, Altruist Financial.
05

Specialized Vehicle and Asset Class Risks

  • Illiquidity and Marketability: Traditional investments can be liquidated daily. The alternative structures available here (evergreen funds, interval funds, and BDCs) are inherently illiquid. While interval funds and BDCs typically offer periodic liquidity mechanisms (such as quarterly repurchase offers for a limited percentage of outstanding fund shares), there is absolutely no guarantee that you will be able to redeem or exit your shares when desired.
  • Valuation Methodologies: Unlike publicly traded stocks or ETFs, private market assets (private equity, venture capital, infrastructure) do not have real-time public market tickers. Fund valuations are dependent on appraisal-based methodologies, third-party evaluations, and quarterly estimates, which may result in lagging or subjective pricing calculations.
  • Capital Risk: Alternative investments involve a high degree of speculation and risk. There can be no assurance that any fund will achieve its investment objectives, and you may lose some or all of your invested principal.

Regulatory Documentation Requirements

Past performance is no guarantee of future market results.
